Article 1 – Definitions

Elle La: Elle La, registered with the Dutch Chamber of Commerce under number 1676163, VAT number NL002261369B98, with its registered office at Staringplein 13, 1054 VJ Amsterdam, The Netherlands.

Customer: Any natural or legal person who enters into an agreement with Elle La for the purchase of products and/or services, whether as a consumer or in the exercise of a profession or business.

Day: Calendar day.

Reflection period: The period within which the Customer may exercise their right of withdrawal.

Right of withdrawal: The option for the Customer to cancel the agreement within the reflection period and return the product or cancel the service (where applicable).

Article 2 – Applicability

  1. These general terms and conditions apply to all offers, quotations, agreements, and deliveries of products and services by Elle La.

  2. Elle La reserves the right to amend these terms and conditions. The most recent version is available on the Website.

  3. Deviations from these terms are valid only if explicitly agreed upon in writing.

  4. By placing an order or accepting a quotation, the Customer agrees to these general terms and conditions.


Article 3 – Offer and Formation of the Agreement

  1. All quotations and price offers are without obligation, unless explicitly stated otherwise.

  2. Unless otherwise agreed, quotations are valid for 30 days from the date of issue.

  3. Quotations and price offers are based on the prices applicable at the time of the offer.

  4. An agreement is established once the Customer has confirmed the quotation or order confirmation in writing or via email, and Elle La has received the (advance) payment in good order.

  5. Images, colours, and material samples are indicative. Due to the use of natural and handmade materials, final products may differ in colour, texture, or dimensions. Such variations are part of the product’s character and do not constitute grounds for complaints.

  6. For the production of custom-made products, the information provided in technical drawings is binding. Changes are only possible if explicitly agreed in writing by both parties.


Article 4 – Prices and Payment

  1. Elle La reserves the right to adjust prices or withdraw offers at any time.

  2. Unless otherwise agreed, payments must be made within fourteen (14) days of the invoice date.

  3. In the event of late payment and after a reminder with a final fourteen (14)-day payment deadline, Elle La is entitled to charge collection fees.

  4. For custom work, a deposit of 50–70% of the amount stated in the initial quotation is required. The final amount on the invoice may differ, even if the products and services remain unchanged. Elle La reserves the right to adjust prices due to changes in labour costs, material prices, transport, or inflation. The Customer will be informed of this in a timely manner.


Article 5 – Customer’s Duty to Provide Information

  1. The Customer is obligated to provide all necessary, accurate, and relevant information to Elle La in a timely manner.

  2. Elle La is entitled to rely on the correctness and completeness of the information provided.


Article 6 – Customer Obligations During the Reflection Period

  1. The reflection period is fourteen (14) days from the day the Customer receives the product. This only applies to products without customisation.

  2. During the reflection period, the Customer must handle the product and packaging with care and may only inspect the product as would be allowed in a physical store.

  3. Any depreciation in value resulting from use beyond this inspection shall be borne by the Customer.

  4. Custom-made products cannot be returned unless a demonstrable defect or error is attributable to Elle La. In such cases, Elle La will provide a replacement product; the order will not be automatically cancelled.

Article 7 – Right of Withdrawal and Associated Costs

  1. Elle La guarantees the soundness of its products under normal use.

  2. Any defects must be reported in writing within seven (7) days of delivery, including photos and a clear description.

  3. In the case of a justified complaint, Elle La will repair, replace, or (partially) credit the product.

  4. Elle La is not liable for damage resulting from misuse, incorrect measurements by the Customer, or improper installation by third parties.

  5. Elle La shall never be liable for indirect damage, consequential damage, or loss of profit.

  6. Custom-made products cannot be cancelled or returned once the quotation has been approved.

  7. For non-customised products (e.g. webshop products), the statutory reflection period of 14 days applies, provided the product is unused, undamaged, and returned in its original packaging.

  8. Return shipping costs are borne by the Customer, unless the product is defective or incorrectly delivered by Elle La.

  9. The Customer bears the risk and burden of proof for the timely and correct exercise of the right of withdrawal.


Article 8 – Elle La’s Obligations in Case of Withdrawal

  1. Elle La will confirm receipt of an electronic withdrawal notification within a reasonable timeframe.

  2. Elle La will refund all payments received, including delivery costs, within fourteen (14) days after receiving the withdrawal notification or the returned product.

  3. Refunds will be made using the same payment method as used by the Customer, unless otherwise agreed.

  4. If the Customer chose a delivery method more expensive than the standard delivery, the additional cost will not be refunded.


Article 9 – Retention of Title

All delivered products remain the property of Elle La until the Customer has fulfilled all their payment obligations.


Article 10 – Delivery and Execution

  1. Elle La aims to deliver within the agreed timeframe and treats all orders and assignments with care. Delivery terms are indicative and not legally binding deadlines.

  2. Delays caused by force majeure or suppliers do not entitle the Customer to compensation or cancellation.

  3. Delivery takes place at the address provided by the Customer.

  4. Partial deliveries and partial invoices are permitted.

  5. Elle La undertakes to perform to the best of its ability but does not guarantee a specific result.

  6. The risk of the product transfers to the Customer upon delivery.

  7. If the Customer refuses delivery, all resulting costs are for the Customer’s account.

  8. Elle La may engage third parties for the execution of the agreement.

  9. If installation or assembly is provided by Elle La or third parties, the Customer must ensure that the space is accessible and prepared according to agreement. Any waiting time or additional work will be invoiced.

  10. The Customer is responsible for providing accurate measurements unless Elle La has performed the measurements itself.

  11. The indicative delivery period starts only after Elle La has received the agreed deposit.

Article 11 – Complaints and Limitation Period

  1. The Customer must inspect the product or service immediately upon delivery for conformity with the agreement.

  2. Complaints must be reported within 14 days via info@elle-la.com.

  3. If a complaint is not resolved, the Customer may submit it to the EU Online Dispute Resolution platform (http://ec.europa.eu/odr).

  4. Elle La will respond to complaints within thirty (30) days.

  5. If the complaint is valid, Elle La may, at its discretion, repair, replace, or refund the product.

Article 12 – Intellectual Property

  1. All intellectual property rights remain with Elle La.

  2. The Customer may not copy, reproduce, or alter the products or services without prior written consent from Elle La.

  3. No transfer of intellectual property rights takes place through delivery or execution.

Article 13 – Confidentiality

  1. Confidential information originating from Elle La may not be disclosed to third parties.

  2. The exception to this is information that must be disclosed by law or regulation.

 


 

Article 14 – Force Majeure

  1. In the event of force majeure (article 6:75 Dutch Civil Code), the obligations of both parties are suspended.

  2. Force majeure includes but is not limited to: illness, war, government measures, transport disruptions, pandemics, natural disasters, and supplier delays.

  3. If the force majeure lasts longer than sixty (60) days, either party may terminate the agreement with immediate effect.

 


 

Article 15 – Limitation Period

All legal claims by the Customer against Elle La expire two (2) years after the Customer submitted a complaint as referred to in Article 11.

 


 

Article 16 – Severability

  1. If a provision is found to be invalid, the other provisions remain in full force.

  2. A substitute provision will apply that aligns as closely as possible with the original intent.

 


 

Article 17 – Governing Law and Jurisdiction

  1. The legal relationship between Elle La and the Customer is governed exclusively by Dutch law.

  2. Disputes shall preferably be resolved amicably. If not, they will be submitted to the competent court in The Netherlands.

 


 

Article 18 – Final Provision

The Dutch version of Elle La’s general terms and conditions is the legally binding version. In case of discrepancies, the Dutch text shall prevail.
